LEGAL COUNSEL


Reporting directly to the Head of Legal & Transaction Management, the successful candidate will be based in our New York office and assumes the following key roles:

Responsibilities: 

  • Draft, negotiate and finalise for execution:
    - term sheets, letters of intent and MOUs
    - new and used aircraft operating/finance lease agreements
    - aircraft sale agreements and novation/transfer agreements
    - financing and security documents
  • This will require ability to manage independently on aircraft transactions from start to finish, including negotiations with third party airlines, banks, investors, manufacturers and legal and other services providers and work closely with the various internal departments to achieve a timely, cost effective, smooth and error free documentation
  • Administer and close the aircraft deals by drafting, preparation, collection and collation of all conditions precedent documents, collection of all conditions subsequent documents, preparation of closing memos and lease summaries for concluded transactions and ensuring bibles and legal folders are complete and original documents compiled and distributed
  • Assist in other legal documentation relating to general business of the Company (external agreements not relating to aircraft, audit, IT contracts, intercompany arrangements and such others)
  • Assist with building legal departments precedent and legal knowledge database
  • Provide timely advice to the board of directors and Company stakeholders on general US company law and US corporate governance requirements
  • Draft board papers for the Company for presentation and approval in respect of each transaction being managed 
  • Provide directorship services to the company if requested

Requirements:

We are looking for candidates with at least 4 years of relevant experience in an international aviation law firm and/or aircraft leasing company.  You will need to be conscientious and a self-starter, who is capable of independently managing transactions from start to completion.
